Corporate Law

Description

This module will develop a student's knowledge of corporate law and provide an appreciation of the legal implications of business decisions and relationships. In particular, it will familiarise students with the process of company formation, the role and function of directors, examiners, receivers and liquidators.

Learning Outcomes

  1. The principles of Corporate Law when considering Business and Accounting issues.

  2. Understand and explain the characteristics of a company and the role of the various associated personnel.

  3. Understand and apply the principles governing the Agency and Partnership relationships.

  4. Understand and apply the principles of forming a registered company and the effects of incorporation.

  5. Understand and explain the capital and finances of a company from a legal perspective.

  6. Understand and explain Examinership, Receivership, Liquidation and the winding up of a company.
